PLEASE READ CAREFULLY. THIS DOCUMENT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO SUE IN COURT AND PARTICIPATE IN A CLASS ACTION.
These terms govern your purchase and use of products made by Aurora Sport, LLC ("Aurora Sport," "we," or "us"), including the Aurora athletic cup and related protective apparel (the "Product"). By purchasing, receiving, or using the Product, you agree to these terms.
Aurora Sport manufactures a soft, flexible athletic cup utilizing non-Newtonian impact-hardening material.
WARNING: THIS PRODUCT IS NOT A TRADITIONAL HARD ATHLETIC CUP. While the Product is designed to harden upon impact, it provides less impact protection than a rigid plastic, steel, or carbon-fiber cup. It is designed to balance comfort, flexibility, and impact protection, and by its nature sacrifices a degree of maximum impact protection to achieve comfort and fit. It will not prevent all injuries.
By purchasing or using the Product, you explicitly acknowledge and agree that:

Failure to follow these instructions voids the Product's intended protective function.
If you are purchasing the Product for use by a minor (under the age of 18), you represent that you are the parent or legal guardian of the minor and agree, on your own behalf and to the fullest extent permitted by law on behalf of the minor:
You acknowledge that certain rights of the minor may not be waivable by a parent or guardian under the law of your state, and the enforceability of this Section will be determined accordingly.
To the fullest extent permitted by applicable law, Aurora Sport disclaims all warranties regarding the Product other than any limited warranty expressly stated in writing by Aurora Sport. Aurora Sport makes no warranty that the Product will prevent injury, and makes no representation that the Product complies with any specific sporting league, association, or regulatory safety standard unless Aurora Sport has explicitly stated such compliance in writing. Some jurisdictions do not allow the disclaimer of certain implied warranties, so portions of this Section may not apply to you.
To the fullest extent permitted by applicable law:

In consideration of being allowed to purchase and use the Product, and to the fullest extent permitted by applicable law, you release, waive, and discharge Aurora Sport, LLC and its owners, officers, directors, employees, agents, contractors, suppliers, and manufacturers (collectively, the "Released Parties") from any and all claims, demands, causes of action, and liability arising out of or related to the Product or its use — including claims for personal injury, death, and property damage — except for claims arising from the gross negligence or willful misconduct of the Released Parties, and except for any other claims that cannot be released under applicable law.
Before initiating arbitration, you agree to first contact Aurora Sport at contact@aurorasportlab.com with a written description of your dispute and your contact information, and to allow Aurora Sport thirty (30) days to attempt to resolve the dispute informally. This Section does not apply to claims for injunctive relief to protect intellectual property rights.
Governing Law. These terms and any dispute arising out of or related to the Product are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws principles. The internal affairs of Aurora Sport, LLC are governed by the laws of the State of California as the state of formation.
Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to the Product or these terms that is not resolved through informal dispute resolution shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration shall be conducted in Suffolk County, Massachusetts, or at another mutually agreed location, or by video or telephone conference at the consumer's election. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
Jury Trial Waiver. You and Aurora Sport each waive any right to a trial by jury.
Class Action Waiver. All disputes shall be resolved only on an individual basis. You and Aurora Sport each waive any right to participate in a class action, consolidated action, representative action, or private attorney general action against the other.
Exceptions. Either party may bring an individual claim in small-claims court for disputes within that court's jurisdiction. Either party may seek injunctive relief in court to protect its intellectual property rights.
If you are a resident of California at the time of purchase, the following provisions apply to you in addition to the terms above. Where these provisions conflict with other sections, these provisions control for California residents.
Waiver of California Civil Code §1542. You expressly waive the protection of California Civil Code §1542, which provides: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." You understand and acknowledge that you may later discover claims or facts in addition to or different from those you now know or believe to exist regarding the Product, and you expressly agree to assume the risk of such unknown and unanticipated claims to the fullest extent permitted by law.
Non-Waivable Rights Preserved. Nothing in these terms is intended to, nor shall it, waive, limit, or restrict any right or remedy that cannot be waived under California law, including rights under the California Consumers Legal Remedies Act (Cal. Civ. Code §1750 et seq.), the California Unfair Competition Law (Cal. Bus. & Prof. Code §17200 et seq.), the Song-Beverly Consumer Warranty Act, or the right to seek public injunctive relief. Any provision of these terms that would otherwise waive or restrict such a right is modified to the minimum extent necessary to comply with California law, and the remaining provisions shall remain in full force and effect.
Arbitration Location. Notwithstanding Section 9, a California resident may elect to have arbitration conducted in the California county of the consumer's residence, by video conference, or by telephone conference, in addition to the options otherwise available under the AAA Consumer Arbitration Rules.
If any provision of these terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be severed or modified to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. If the Class Action Waiver in Section 9 is held unenforceable as to a particular claim or remedy, that claim or remedy shall be severed and decided in court, and all remaining claims shall proceed in arbitration.
These terms, together with the warnings printed on the Product packaging and any limited warranty expressly stated in writing by Aurora Sport, constitute the entire agreement between you and Aurora Sport regarding the safety, risks, and liability of the Product, and supersede any prior representations. Aurora Sport may update these terms from time to time; the version in effect at the time of your purchase will govern that purchase.
BY PURCHASING, RECEIVING, OR USING THE PRODUCT, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE, DO NOT PURCHASE OR USE THE PRODUCT, AND RETURN IT FOR A REFUND UNDER AURORA SPORT'S RETURN POLICY.
